These Terms and Conditions of Use (“Terms”) apply to you when you view, access or otherwise use the website located at www.flasllp.com (the “Site”). The Site is owned by Fauver, Large, Archbald & Spray, LLP (“FLAS”, “we”, “our” or “us”). We grant you a nonexclusive, nontransferable, limited right to access, use and display the Site and the materials made available thereon, provided that you agree to, and comply fully with, these Terms and our Privacy Policy.

1. No Attorney Client Relationship. We provide this Site for general informational purposes only. FLAS is a law firm and some of the information, materials and resources (collectively, “Materials”) available through the Site relate to legal topics, however, no attorney client relationship is created between you and us when you use the Site or view the Materials. By using the Site, you represent, acknowledge and agree that the Site and/or the Materials do not constitute legal or other professional advice, and that no attorney-client or other relationship is created between you and FLAS by virtue of you using or viewing the Site and/or the Materials. You further acknowledge and agree that your utilization of the Site and/or the Materials is not a substitute for obtaining legal advice from a qualified attorney licensed in your state. The Materials available through the Site may be changed without notice, and are not guaranteed to be complete, correct or up-to-date. While we try to revise the Site on a regular basis, it may not reflect the most current legal developments. The opinions expressed at or through the Site and Materials are the opinions of the individual authors and may not reflect the opinions of FLAS or any individual attorney employed thereby.
2. Acceptance of Terms and Privacy Policy. By using the Site, you accept and agree to be bound and abide by these Terms and our Privacy Policy.  If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Site. The Site is offered and available to users who are 18 years of age or older. By using this Site, you represent that you are 18 years of age or older .If you are not 18 years of age or older, you must not access or use the Site.
3. Intellectual Property Rights. The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, Materials, resources, images, video, and audio, and the design, selection, and arrangement thereof) are owned by FLAS, its licensors, or other providers of such materials and are protected by United States and international copyright, trademark, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, without the prior written consent of FLAS, or except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.

You must not:

• Modify copies of any materials from this Site.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.

UNAUTHORIZED COPYING, REPRODUCTION, REPUBLISHING, UPLOADING, POSTING, TRANSMITTING OR DUPLICATING OF ANY OF THE MATERIAL IS PROHIBITED. Commercial Use of Fauver, Large, Archbald & Spray Site Materials and Screen Shots. Reproduction, copying, or redistribution of Materials on the Site for commercial purposes is prohibited without the express written permission of FLAS. Any unauthorized use, reproduction, or distribution of Materials on this Site which include the personal information, property, image or other depiction of any particular FLAS attorney may be in violation of state and federal privacy and other laws requiring the specific written consent of the individual attorney. To obtain permission to copy portions of this site, please send email to info@flasllp.com and provide the following information in the body of the email:

• the content you wish to use;
• where, when and how it will be used (for example, a seminar, newsletter or news article);
• where and how copies will be distributed and to what audience;
• how many copies will be produced and distributed;
• what other materials will be associated with the Fauver, Large, Archbald & Spray content; and
• your name, title, company, address, email address and phone number.

We will evaluate and respond to your request as soon as possible. FLAS reserves the right to refuse permission to copy, distribute, broadcast, or publish any of its copyrighted material, including text and images on our Site. 5.  Service Mark Notice. “Fauver, Large, Archbald & Spray”, “FLAS” and other related marks are service marks of FLAS and are protected by law. They may be used publicly only with permission from FLAS (see Section 4 above). Fair use of the service marks requires proper acknowledgment. ALL RIGHTS RESERVED.
6. Links to Other Sites and/or Materials. Links to other websites (“Outside Websites”) may appear on the Site. These links are provided solely as a courtesy to our Site visitors. FLAS has no control over the Outside Websites or the materials, information, goods or services available or contained on the Outside Websites. FLAS is not responsible for and does not endorse or warrant in any way any materials, information, goods or services available through such Outside Websites or any privacy or other practices of such Outside Websites. If you decide to access any of the Outside Websites, you do so entirely at your own risk. FLAS reserves the right to terminate any link available through the Site at any time.
7. Prohibited Actions. You agree not to interrupt, or attempt to interrupt, the operation of the Site in any way. You further agree not to use the Site:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
• To impersonate or attempt to impersonate FLAS, or any partner or employee of FLAS, or any other person or entity (including, without limitation, by using email addresses associated with the Site or FLAS).
• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm FLAS or users of the Site, or expose them to liability.
• In any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site.
• To carry out any unauthorized alteration of any data or information on the Site or to conduct any activity that infringes on the copyright, patent, trademark, service mark or other rights of any person or entity.

You further agree not to:

• Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
• Use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms, without our prior written consent.

9. Modification of Terms. FLAS reserves the right to revise these Terms at any time by updating this posting. Your continued use of the Site constitutes your agreement to comply with such revisions, so you should visit this page from time to time.
10. Email May Not Be Used to Provide Notice. Communications made through the Site’s email and messaging system shall in no way be deemed to constitute legal notice to FLAS or any of its officers, employees, agents or representatives, such as where notice to FLAS is required by contract, or any federal, state or local laws, rules or regulations.
11. Information About You and Your Use of the Site. All information we collect on this Site is subject to our Privacy Policy. By using the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
12. Disclaimer; Limitation of Damages. (a) You understand that we cannot and do not guarantee or warrant that the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient anti-virus protection. FLAS expressly disclaims all liability for any viruses or other contamination of your computer system or other device used to access this Site as a result of your use of this Site, and expressly disclaims all liability for actions taken or not taken based on any or all of the contents of this Site.

TO THE FULLEST EXTENT PROVIDED BY LAW, FLAS DISCLAIMS ANY AND ALL LIABILITY FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY ITEMS OBTAINED THROUGH THE SITE OR YOUR DOWNLOADING OF ANY MATERIAL POSTED ON THE SITE, OR ON ANY WEBSITE LINKED TO IT. TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL FLAS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, PARTNERS, EMPLOYEES, AGENTS, OR OFFICERS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

13. Indemnification. You agree to defend, indemnify, and hold harmless FLAS, its affiliates, licensors, and service providers, and its and their respective officers, partners, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site’s content other than as expressly authorized by these Terms, or your use of any information obtained from the Site.

14. Applicable Laws; Venue. Fauver, Large, Archbald & Spray operates the Site from its offices in California and makes no representations that materials in the Site are appropriate or available for use in other locations. The display of the Site alone does not subject Fauver, Large, Archbald & Spray to any specific jurisdiction. Access to the Site from any territory where the content is illegal is prohibited. If you choose to access the Site from other locations, you do so at your own risk and are solely responsible for compliance with any and all applicable laws, rules and regulations. You may not use or export any of the Site materials in violation of U.S. export laws and regulations. Any claim related to the use of the Site or to the Site materials shall be governed by, construed and enforced in accordance with the laws of the State of California as applied to agreements made and to be performed entirely therein. Any action arising out of or related to the access, use, content, or existence of this Site shall be filed only in the appropriate state or federal court located within the State of California, County of Santa Barbara. The access, viewing or use of this Site constitutes the user’s express permission and consent to the jurisdiction of the state and/or federal courts of the State of California for purposes of such actions.

15. Waiver and Severability. No waiver by FLAS of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of FLAS to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
16. Entire Agreement. The Terms and our Privacy Policy constitute the sole and entire agreement between you and us regarding the Site and the Materials available thereon.
